Constitution
March 2005
- The name of the Association will be Birmingham Open Spaces Forum.
- The objects of the Association are to express and act upon the interests of the users of open spaces in Birmingham.
- The Association will work for the achievement of the BOSF manifesto (Appendix 1).
- By:
- liaison with the relevant local, regional and national organisations
- developing the capacity of "Friends" groups
- promoting the involvement of users and potential users of open spaces
- keeping "Friends" groups informed about matters of interest
- representing the views of members
- Membership is open to organisations and individuals interested in the expansion, improvement and sustainability of Birmingham’s open spaces. Membership of BOSF implies the duty to actively contribute to the work of the Forum.
- Voting rights are limited to 1 vote per member organisation.
- The Association shall have no political affiliation.
- The Association shall have a Steering Committee made up of 4 Officers (a Chairperson, Vice Chair, Secretary, and Treasurer) and at least 2 additional committee members up to a maximum of 7.
- Committee members will be elected at the AGM for a period of 1 year. Officers will be elected at the AGM for a period of 1 year and can serve for a maximum of 3 years in succession.
- Additional committee members can be co-opted where they offer specific skills or experience.
- Additional sub groups, agreed by the Steering Committee, can be created to represent particular interests or projects as required.
- Five members or 50% of the membership of the Steering Committee, whichever is least, will constitute a quorum at Steering Committee meetings.
- The Association will meet at least twice yearly. The Annual General Meeting will take place as part of the Spring meeting. 12 members will constitute a quorum of an AGM or SGM.
- Funds for the Association will be raised voluntarily.
- The Treasurer will open an account in the name of the Association, and present a report on the accounts at the Annual General meeting.
- To amend the constitution requires a 2/3rds majority of those present at an AGM or SGM called for the purpose. Notice must be given at least 14 days before the meeting.
- BOSF may be wound up at any time if agreed by at least two-thirds of members present and voting at an AGM or SGM called for the purpose. Notice must be given at least 14 days before the meeting. In the event of winding up any assets remaining, after all debts have been paid, shall be given to another Group with similar aims.
